ORDER PROCESSING
All orders placed online are subject to state sales tax, which will be calculated on the order subtotal and which will appear as part of the order total. In addition to the terms, conditions and policies set forth in these Online Ordering Policies, all online orders and the respective products and services contained therein shall be governed by Honeywell-Airport Systems Internet Sales Terms and Conditions, which are incorporated herein by this reference.

SHIPPING POLICY
Shipping Charges will be applicable to every order. Rates will be those in effect at the time of shipment. All Internet orders will be shipped via UPS shipping service.

DELIVERY POLICY
Replacement parts typically ship within 2-3 business days depending on shipment method and product availability. Shipping schedule maybe be subject to change without notice. Stock items are subject to prior sale. Any shipment or delivery dates stated by Honeywell are approximate and are based on Honeywell's receipt from you of the information necessary to fulfill an order. Honeywell is not liable for loss or damage resulting from delay or failure in delivery or manufacture.

The following terms and conditions apply without exception to all Internet sales of obstruction lighting products ("Product") by Honeywell Airport Systems, an enterprise of Honeywell International Inc. ("Honeywell").

  1. SOLE TERMS. Buyer accepts these terms by placing an order using this site. No other terms or conditions shall be binding upon Honeywell unless agreed to in writing.

  2. QUOTE/PRICES. Prices quoted are Honeywell's standard prices as of the date of order. All Product prices exclude applicable taxes and shipping charges, which are quoted separately.

  3. PAYMENT. All payments shall be made by credit card at the time order is placed.

  4. DELIVERY AND RISK OF LOSS. US domestic shipments shall be delivered F.O.B. Honeywell's facility. International shipments shall be delivered EXW (Incoterms 2000). Title and risk of loss or damage shall pass to Buyer upon delivery of Product to carrier.

  5. SHORTAGES/ERRORS/RETURNS. Please contact Customer Service for product returns at 805-581-5591 or 937-484-2000.
    • Returns due to customer error or fault will be subject to a restocking fee.
    • Prior to making the call, kindly gather the following information:
      1. Part numbers and corresponding quantities to be returned; include Serial numbers and Site locations when available.
      2. Shipping address, contact person and telephone number.
      3. Billing address, contact person and telephone number.
      4. Purchase Order for repair when necessary.
      5. Reason for return (i.e., ordered the wrong part, over-ordered, product no longer needed, defective unit, etc...).
      6. When available, customers Site Technician and telephone number.
      7. Sales Order number to credit when necessary.
    • Package returned product in the following manner:
      1. Use standard packaging procedures to insure safe arrival of goods into our factory.
      2. Enclose a short explanation with the units including a contact name and telephone number.
      3. Enclose a copy of any and all associated packing slips / invoices, when available.


  6. TAXES. All applicable taxes shall be added to the price and paid by Buyer.

  7. DELIVERY SCHEDULES. All shipment schedules are approximate. If Honeywell should default or incur excessive delay, Buyer's sole remedy shall be to cancel the order, through written notice to Honeywell. In no event shall Honeywell be liable for any excess costs incurred by Buyer.

  8. PATENTS. Honeywell will indemnify and hold Buyer harmless from and against all damages and costs (excluding attorney's fees, special, consequential and incidental damages) which may be finally assessed against Buyer based on a claim that Buyer's use of Product infringes a United States patent, copyright or trade secret. The foregoing provisions shall not apply and Honeywell shall have no liability for any claim of infringement based on (i) any modification of the Product by an entity other than Honeywell or its agents; or (ii) any use of the Product with any program, data or equipment not supplied or approved by Honeywell.
    Honeywell shall have no liability under this Section unless Buyer (i) gives Honeywell prompt written notice of any claim made against Buyer; (ii) provides Honeywell with the opportunity to take over, settle or defend any claim through counsel of Honeywell's choice and under its sole direction; and (iii) makes available to Honeywell all defenses against any such claim, action, suit or proceeding known to or available to Buyer.
    If Honeywell believes that Buyer's use of the Product will be enjoined, Honeywell may, at its option, (i) procure the right for Buyer to continue to use the Product, (ii) replace the Product with non-infringing equipment, or (iii) modify the Product to be non-infringing.

  9. LIMITED WARRANTY
    (a) "Nonconformance" means a defect in workmanship or material; a failure to comply with applicable Honeywell drawings; or a failure to comply with applicable FAA specifications. Normal wear and tear (including but not limited to incandescent lamp failure) or the need for periodic maintenance shall not constitute a Nonconformance.

    (b) Honeywell warrants that at time of delivery to Buyer, its Products will comply with applicable Honeywell drawings and FAA specifications and will be free from defects in workmanship and material. These warranties shall run to Buyer, its successors and assigns. This warranty shall be valid for twenty-four (24) months after shipment of the Product, except that the validity period for LED Products is five (5) years from date of shipment.

    (c) Buyer must notify Honeywell in writing of a Nonconformance within the warranty period and return the Product to Honeywell within thirty (30) calendar days after such notice, in accordance with instructions which shall be issued by Honeywell. Honeywell's obligation and Buyer's remedy under this warranty is limited to either repair or replacement, at Honeywell's option, of the nonconforming Product. All Products repaired or replaced hereunder shall be warranted only for the unexpired portion of the original warranty period. Honeywell agrees to assume round trip transportation costs for a nonconforming Product in an amount not to exceed normal ground shipping charges to the warranty service facility designated by Honeywell. The risk of loss or damage to all Products in transit shall be borne by the Party initiating the transportation of such Products.

    (d) Honeywell shall not be liable under this warranty if the Product has been exposed or subjected to (1) any maintenance, repair, installation, handling, transportation, storage, operation or use which is improper or otherwise is not in compliance with Honeywell's instructions; or (2) any alteration, modification or repair by anyone other than Honeywell or those specifically authorized in writing by Honeywell; or (3) any accident, contamination, foreign object damage, abuse, neglect or negligence after delivery to Buyer; or (4) any damage precipitated by failure of a Honeywell supplied Product not under warranty or by any product not supplied by Honeywell.

    (e) THIS WARRANTY IS EXCLUSIVE AND IN LIEU OF ALL OTHER WARRANTIES, WHETHER WRITTEN OR ORAL, EXPRESS, IMPLIED OR STATUTORY, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR PARTICULAR PURPOSE, OR NON-INFRINGEMENT, ALL OF WHICH ARE HEREBY EXPRESSLY DISCLAIMED. NO EXTENSION OR EXPANSION OF THIS WARRANTY SHALL BE BINDING UPON HONEYWELL UNLESS SET FORTH IN WRITING AND SIGNED BY HONEYWELL'S AUTHORIZED REPRESENTATIVE.

    (f) IN NO EVENT SHALL HONEYWELL BE LIABLE FOR SPECIAL, INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES UNDER THIS WARRANTY EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES INCLUDING, WITHOUT LIMITATION, INTERRUPTION OF BUSINESS, LOSS OF PROFITS, OR LOSS OF USE. THE EXCLUSION OF INCIDENTAL AND CONSEQUENTIAL DAMAGES AS SET FORTH IN THIS WARRANTY SHALL BE DEEMED INDEPENDENT OF, AND SHALL SURVIVE, ANY FAILURE OF THE ESSENTIAL PURPOSE OF ANY LIMITED REMEDY UNDER THE TERMS OF THIS WARRANTY.

  10. EXPORT CONTROL. Buyer shall not contravene any export or arms control law of any sort, and shall obtain all necessary approvals for export, re-export; transfer and use of any Product supplied hereunder.

  11. APPLICABLE LAW. The laws of the State of California and the United States shall solely govern this Order, without regard to any conflicts of law provisions or any provisions of the 1980 United Nations Convention on the International Sale of Goods.

  12. LIMITATION OF LIABILITY. Honeywell's LIABILITY ON ANY CLAIM FOR LOSS OR DAMAGE ARISING OUT OF, CONNECTED WITH, OR RESULTING FROM THIS ORDER, OR FROM THE PERFORMANCE OR BREACH THEREOF, OR FROM THE MANUFACTURE, SALE, DELIVERY, RESALE, REPAIR OR USE OF ANY PRODUCT COVERED BY OR FURNISHED UNDER THIS ORDER SHALL IN NO CASE EXCEED THE PRICE ALLOCABLE TO THE PRODUCT OR PART THEREOF WHICH GIVES RISE TO THE CLAIM, EXCEPT AS PROVIDED IN THE PARAGRAPH ENTITLED "PATENT INDEMNITY." Honeywell's LIABILITY SHALL TERMINATE WITH THE EXPIRATION OF THE WARRANTY PERIOD. IN NO EVENT SHALL HONEYWELL BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES RELATING TO OR ARISING OUT OF PERFORMANCE OF THIS AGREEMENT, INCLUDING DAMAGES BASED ON CONTRACT, NEGLIGENCE, WARRANTY OR OTHERWISE.
